These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and OmnyPost ("Company," "we," "us," or "our"), governing your access to and use of the OmnyPost platform available at omnypost.com, including all related tools, features, and services (collectively, the "Service").

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately stop using the Service.

To use OmnyPost, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under any applicable law

By using the Service, you represent and warrant that all of the above conditions are met.

OmnyPost is a social media management and post scheduling platform that allows users to plan, create, schedule, and publish content across multiple social media platforms from a single dashboard. Features of the Service include but are not limited to:

• Scheduling and publishing posts across connected social media accounts
• Managing multiple social media accounts and profiles
• A visual content calendar for planning and organizing posts
• AI-powered content suggestions and caption generation
• Analytics and performance reporting
• Media library and asset management
• Team collaboration tools (where applicable)

We reserve the right to add, modify, or remove features at any time without prior notice.

To access the full features of OmnyPost, you must register for an account. When registering, you agree to:

• Provide accurate, truthful, current, and complete information
• Keep your account information updated at all times
• Maintain the confidentiality of your login credentials
• Not share your account with any unauthorized person
• Accept full responsibility for all activities that occur under your account

You must notify us immediately at support@omnypost.com if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage resulting from your failure to protect your login credentials.

You agree to use OmnyPost only for lawful purposes and in a manner consistent with all applicable local, national, and international laws and regulations. You agree that you will NOT:

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Post, schedule, or distribute content that is defamatory, obscene, hateful, discriminatory, sexually explicit, or otherwise objectionable
• Violate the terms of service, community guidelines, or usage policies of any connected third-party social media platform
• Use automated bots, scrapers, or any unauthorized tools to access or interact with the Service, unless explicitly permitted in writing by us
• Attempt to gain unauthorized access to any part of the Service, our servers, or any connected systems or networks
• Reverse engineer, decompile, or attempt to extract the source code of OmnyPost
• Engage in spamming, mass unsolicited messaging, or any behavior that could damage our relationship with third-party API providers
• Upload or transmit any malware, viruses, or harmful code of any kind
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity, performance, or availability of the Service

We reserve the right to suspend or permanently terminate any account that violates this Acceptable Use Policy, at our sole discretion, with or without prior notice.

OmnyPost connects with third-party social media platforms including but not limited to Meta (Facebook and Instagram), X (formerly Twitter), Pinterest, YouTube, Threads, and LinkedIn.

By connecting your social media accounts to OmnyPost, you:

• Authorize OmnyPost to access, manage, and publish content on your behalf through the official APIs of those platforms
• Acknowledge that your use of those platforms remains governed by their respective terms of service and community guidelines
• Understand that OmnyPost is not responsible for any actions taken by third-party platforms, including account suspension, content removal, API changes, or service interruptions
• Accept that OmnyPost does not guarantee the continued availability of any specific third-party integration, as API access may change at any time without notice

You are solely responsible for ensuring that all content you publish through OmnyPost complies with the rules and policies of each connected social media platform.

Your Content: You retain full ownership of all content you create, upload, or schedule through OmnyPost. By using the Service, you grant OmnyPost a limited, non-exclusive, worldwide, royalty-free license to store, process, display, and transmit your content solely for the purpose of providing the Service to you.

Our Content: All other content on the OmnyPost platform — including the website design, interface, graphics, logos, text, software, and code — is owned by or licensed to OmnyPost and is protected under applicable intellectual property laws. You may not reproduce, copy, modify, distribute, or create derivative works from any of our content without our prior written permission.

Content Responsibility: You are solely responsible for the content you publish or schedule through OmnyPost. We do not review or endorse any user-generated content and accept no liability for it.

OmnyPost offers both free and paid subscription plans. Paid plans unlock additional features and higher usage limits.

Billing: By subscribing to a paid plan, you authorize OmnyPost or its payment processor to charge your chosen payment method on a recurring basis (monthly or annually, as selected by you).

Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.

Refunds: Subscription fees are generally non-refundable. If you believe you have been charged in error, please contact us at support@omnypost.com within 7 days of the charge.

Price Changes: We reserve the right to change our pricing at any time. If we change the price of your current plan, we will notify you in advance.

Payment Processing: All payments are processed by secure third-party payment processors. OmnyPost does not store your full payment card details on our servers.

We may from time to time offer free trials or promotional pricing. Unless stated otherwise:

• Free trials are limited to one per user or organization
• We reserve the right to end or modify any free trial or promotional offer at any time
• At the end of a free trial, your account may be automatically converted to a paid plan unless you cancel before the trial period ends

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, OmnyPost expressly disclaims all warranties of any kind, whether express or implied, including:

• Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Any guarantee that the Service will be uninterrupted, error-free, or completely secure
• Any guarantee that content scheduled through our platform will be published successfully on third-party platforms
• The accuracy, reliability, or completeness of any information provided through the Service

We are not responsible for any post failures, missed schedules, or publishing errors caused by third-party platform outages, API changes, or account-level restrictions.

To the fullest extent permitted by applicable law, OmnyPost, its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, or damages resulting from unauthorized access or third-party platform changes.

In all cases, OmnyPost's total liability to you for any claim shall not exceed the total amount you paid to OmnyPost in the 3 months immediately preceding the claim.

You agree to defend, indemnify, and hold harmless OmnyPost and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property or privacy rights
• Any content you publish or attempt to publish through the Service
• Your violation of any applicable law or the terms of any connected social media platform

Your use of OmnyPost is also governed by our Privacy Policy, available at omnypost.com/privacy. By using the Service, you acknowledge that you have read and agree to our Privacy Policy, which is incorporated into these Terms by reference.

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, if we believe you have violated these Terms, engaged in abusive or harmful conduct, or for any other reason at our sole discretion.

Upon termination, your license to use the Service immediately ends, you will lose access to your account, scheduled posts, and stored data, and any outstanding subscription fees remain due and payable.

Sections that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification — will remain in full effect.

We reserve the right to modify or discontinue the Service (or any part of it) at any time with or without notice. We may also update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you via email or an in-app notification. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the appropriate courts in the jurisdiction where OmnyPost operates.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and OmnyPost regarding the Service and supersede all prior agreements, representations, or understandings.
